1. Acceptance and Eligibility

By accessing or using passorfail.ca (the “Site”), you agree to these Terms of Use. If you do not agree, do not use the Site. Your continued use of the Site on or after the “Last updated” date set out at the top of these Terms constitutes your acceptance of the version then in effect.

You must be at least 18 years old, or the age of majority in your province or territory of residence, to agree to these Terms. If you are under that age, your parent or legal guardian must read these Terms and supervise your use of the Site. By permitting your use of the Site, your parent or legal guardian agrees to be responsible for your compliance with these Terms and for any liability arising from your use of the Site.

2. Description of Service

Pass or Fail aggregates and displays publicly available restaurant health inspection records from Canadian municipal, regional, and provincial health authorities. The Site is provided for general informational purposes only. It is not a substitute for current inspection records published directly by health authorities, for professional advice, or for personal judgment about food safety. Inspection results displayed on the Site do not guarantee that any food, beverage, or other product prepared, sold, or served by any listed establishment is safe to consume or fit for any particular purpose.

3. Data Sources and Accuracy

The health inspection information displayed on the Site is sourced from third-party government datasets, including:

  • City of Toronto / DineSafe (Toronto Open Data)
  • Regional Municipality of Peel — DineSafe programme (Mississauga, Brampton, Caledon)
  • Regional Municipality of Halton (Burlington, Oakville, Milton, Halton Hills)
  • Regional Municipality of York (Markham, Vaughan, Richmond Hill, Newmarket, Aurora, and others)
  • Region of Waterloo (Kitchener, Waterloo, Cambridge)
  • Ottawa Public Health (Ottawa)
  • Vancouver Coastal Health (VCH) (Vancouver, Richmond, Whistler, North Vancouver, West Vancouver)
  • Alberta Health Services (AHS) — Environmental Public Health (Calgary, Edmonton, Red Deer, Lethbridge, and other Alberta municipalities)
  • Saskatchewan Health Authority (SHA) — Inspection InSite portal (Saskatoon, Regina, Moose Jaw, Prince Albert, SK)
  • Interior Health Authority (IHA) (Kelowna, Kamloops, Vernon, Penticton, and other BC Interior cities)
  • Island Health (VIHA) (Victoria, Nanaimo, Tofino, Parksville)
  • Middlesex-London Health Unit (MLHU) (London, ON)
  • Hamilton Public Health Services (Hamilton, ON)
  • Ville de Montréal — court conviction records published on donnees.montreal.ca (Montréal, QC). Note: Montréal publishes court convictions only, not routine inspection records.
  • Ministère de l’Agriculture, des Pêcheries et de l’Alimentation du Québec (MAPAQ) — provincial court conviction records published on donneesquebec.ca (Brossard, Gatineau, Laval, Lévis, Longueuil, Québec City, Repentigny, Saguenay, Sherbrooke, Terrebonne, QC). Note: MAPAQ publishes court convictions only, not routine inspection records.
  • Other municipal and regional health authorities as coverage expands

This data is provided by government agencies and is reproduced by Pass or Fail as a public convenience. We do not conduct inspections, generate inspection outcomes, or verify the data independently.

Data may be:

  • Delayed — there is a lag between a physical inspection occurring and the data appearing in government feeds, which may be further delayed before appearing on the Site.
  • Incomplete — not all inspections, violations, or establishments may be captured.
  • Inaccurate — errors, corrections, or data-quality issues may exist in the source data.
  • Out of date— a restaurant’s current status may differ from what is displayed.

You must verify current information directly with the relevant health authority before making any decision. Pass or Fail is not responsible for dining choices, business decisions, or any other actions made in reliance on information displayed on the Site.

By accessing the Site, you acknowledge these limitations and assume all risk arising from your use of, or reliance on, the inspection information displayed. Pass or Fail does not represent or warrant that any displayed establishment exists, is currently open or operating, has been correctly identified, operates at the address or under the name shown, or is the same establishment as another with a similar name. Establishment identification depends on data and identifiers provided by the originating authority and is reproduced without independent verification.

For the most current and authoritative inspection record, consult the relevant originating health authority directly (for example, Toronto Public Health’s DineSafe, or the municipal/regional/provincial health authority that publishes data for the establishment in question).

4. Open Data Acknowledgment

All inspection data displayed on the Site is reproduced from publicly available open-data feeds published by Canadian health authorities. Each authority publishes its data under its own open data licence or terms of use, including (without limitation):

Government-sourced inspection data remains the property of the originating agencies and is reproduced in accordance with each authority’s licence. Pass or Fail makes a good-faith effort to provide attribution as required by each licence. If you are a rights-holder or originating authority and believe the attribution provided is insufficient, please contact us at contact@passorfail.ca and we will aim to respond promptly.

5. Restaurant Operator Corrections

If you are a restaurant owner, operator, or authorized representative and you believe that information displayed about your establishment is inaccurate, out of date, or attributed in error, please contact us. Include:

  • The full establishment name and address as shown on the Site
  • The specific information you believe is inaccurate (with a link to the page)
  • What you believe the correct information is, and the basis for that belief
  • Where possible, a reference to the current record in the relevant government inspection system (e.g. a DineSafe establishment ID, AHS facility number, or Hedgehog/Health-Department portal facility ID for BC authorities)

Send correction requests to contact@passorfail.ca. We aim to acknowledge receipt within 10 business days and to investigate and respond within 30 business days, where reasonably practicable.

Because our data is sourced from government authorities, we may not be able to change inspection records that accurately reflect the source. Where the source data itself is incorrect, we will direct you to the originating health authority, which is the authoritative record-holder, and we will update the Site once the source is corrected.

Republication of public records.Pass or Fail acts solely as a good-faith aggregator and republisher of publicly available open-data records produced by Canadian municipal, regional, and provincial health authorities. We make no independent factual or evaluative claims about any establishment; the inspection outcomes, dates, violations, descriptions, and other displayed details are reproduced from the originating authority’s published records, with only such formatting, normalization, and presentation adjustments as are necessary to display them on the Site. The originating authority is and remains the authoritative record-holder. Pass or Fail retains the discretion, but no obligation, to update, correct, redact, suppress, or remove any content at any time, with or without notice.

In republishing public-record open data in this manner, Pass or Fail relies on the defences and privileges available under Canadian law, including fair report of governmental and judicial proceedings, qualified privilege, fair comment, and the public-interest reproduction provisions of applicable open-data licences and statutory regimes.

Copyright and other intellectual-property complaints. If you believe content on the Site infringes a copyright or other intellectual-property right, please contact us at contact@passorfail.ca with sufficient detail to identify the work, the page or URL on the Site, and the rights claimed. We will review such notices in accordance with the Copyright Act (Canada), including the Notice and Notice regime in section 41.25 where applicable, and respond as appropriate.

6. Permitted Use

The Site is provided for personal, non-commercial informational use. You may:

  • Browse and share individual restaurant inspection pages.
  • Link to passorfail.ca.

You may not:

  • Scrape, crawl, or bulk-download data from the Site using automated means. This restriction does not apply to well-behaved search engine and accessibility crawlers indexing the Site for organic web search results, that respect the Site’s robots.txt and rate-limit their requests. The exception in the preceding sentence does not extend to crawlers, bots, or other automated agents that collect content for use in training, testing, fine-tuning, or augmenting machine-learning or artificial-intelligence models or datasets, regardless of their robots.txt compliance.
  • Use the Site or its data for commercial data products or services without a written licence from Pass or Fail.
  • Republish or redistribute the inspection data in a way that misrepresents its source, accuracy, or timeliness.
  • Use any portion of the Site, its content, or its data to train, test, fine-tune, or otherwise develop machine-learning or artificial-intelligence models or datasets, or to populate any commercial database, without prior written permission from Pass or Fail.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Site or its infrastructure.

Nothing in this Section is intended to restrict fair-dealing use of the Site or its content for the purposes of journalism, criticism, review, education, research, parody, or satire as permitted under the Copyright Act (Canada), provided such use complies with the open data licences under which the underlying inspection data is published, identifies Pass or Fail as the source where appropriate, and does not involve bulk extraction or automated scraping otherwise prohibited above.

7. Intellectual Property

The Site design, branding, code, and editorial content of passorfail.ca are owned by Pass or Fail. Government-sourced inspection data remains the property of the originating agencies and is reproduced under their respective open data licences. Nothing in these Terms transfers ownership of any intellectual property to you.

8. Third-Party Links, Advertising, and Affiliate Relationships

The Site may contain links to third-party websites and services, including online reservation, ordering, and delivery platforms. Some of these may be affiliate links — if you click such a link and make a booking or purchase, Pass or Fail may receive a commission at no additional cost to you. Affiliate relationships do not influence which inspection data is displayed. Pass or Fail is not responsible for the content, availability, practices, or privacy policies of third-party sites.

Third-party advertising.The Site displays third-party advertising, including programmatic display advertising served by Google AdSense and similar networks. Advertisers and ad networks operate independently of Pass or Fail, and the appearance of an advertisement on any page of the Site does not constitute Pass or Fail’s endorsement of the advertiser, its products, or its services, and does not imply any relationship between the advertiser and any establishment or inspection record displayed on the same page. Pass or Fail does not control which advertisements appear adjacent to any particular establishment listing or inspection record. Pass or Fail is not responsible for the content, accuracy, legality, or practices of any advertisement or advertiser. Advertisers do not pay for, and cannot influence, the inspection outcomes, rankings, or any editorial display of any establishment on the Site.

9. Disclaimer of Warranties

The Site, including all content, data, and functionality, is provided “as is” and “as available”, with all faults and without warranties or representations of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, Pass or Fail disclaims all warranties, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, completeness, currency, reliability, title, quiet enjoyment, and non-infringement.

Without limiting the generality of the foregoing, Pass or Fail makes no warranty, representation, or guarantee that:

  • any establishment listed on the Site exists, is currently in operation, is correctly identified, or operates at the address or under the name shown;
  • inspection outcomes, dates, violations, infraction codes, severity ratings, or any other displayed details are accurate, complete, current, free of error, or correctly attributed to a particular establishment;
  • food, beverages, or other products prepared, sold, or served by any listed establishment are safe to consume or fit for any particular use;
  • the Site, its servers, or any communications transmitted through the Site are free of viruses, malware, or other harmful components, or will be uninterrupted, secure, available, or error-free.

No advice or information, whether oral or written, obtained from Pass or Fail or through the Site creates any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you to the extent prohibited by law.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Pass or Fail shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, loss of data, loss of goodwill, or business interruption — arising out of or in connection with:

  • Personal injury, illness (including foodborne illness or food poisoning), allergic reaction, property damage, or any other loss or harm arising out of or related to your patronage of, food or beverage consumption at, or any other interaction with any establishment listed on or located via the Site.
  • Your access to or use of, or inability to access or use, the Site.
  • Errors, inaccuracies, delays, or omissions in the inspection data displayed.
  • Any decision made or action taken in reliance on information displayed on the Site, including dining, business, employment, investment, or insurance decisions.
  • Misidentification of any establishment, or attribution of any inspection record to the wrong establishment.
  • Any third-party content, links, advertising, or services accessible through the Site.

To the fullest extent permitted by applicable law, the aggregate total liability of Pass or Fail to you, arising out of or relating to the Site or these Terms, whether in contract, tort (including negligence), statute, or otherwise, and regardless of the number of claims or the cause of action, shall not exceed CAD $500.

Carve-outs.Nothing in this Section limits or excludes Pass or Fail’s liability for fraud, fraudulent misrepresentation, wilful misconduct, or gross negligence, or for any other matter that cannot be limited or excluded under applicable law. The exclusions and the cap above apply to claims of ordinary negligence, breach of contract, breach of statute, and other matters where limitation is permitted.

Class-action waiver. To the maximum extent permitted by law, you and Pass or Fail each agree that any claim or dispute relating to the Site or these Terms will be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, consolidated, collective, or representative proceeding. If a court of competent jurisdiction finds this paragraph unenforceable in a particular dispute, this paragraph shall be severed as to that dispute only and the remainder of these Terms shall continue to apply.

Essential purpose. The limitations and exclusions of liability set out in Sections 9 and 10 apply to the maximum extent permitted by law and reflect a reasonable allocation of risk between you and Pass or Fail given the public-interest, informational nature of the Site, which is provided at no direct charge to users and is supported by third-party advertising. They apply even if any remedy provided in these Terms fails of its essential purpose, and shall survive termination of these Terms or your access to the Site.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including under the Ontario Consumer Protection Act, 2002 and similar consumer-protection legislation. If you are a consumer, you have statutory rights that these Terms do not override.

11. Indemnification

You agree to defend, indemnify, and hold harmless Pass or Fail, its operators, contractors, and affiliates from and against any third-party claims, demands, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Site; or (c) your violation of any law or the rights of any third party in connection with your use of the Site, in each case to the extent caused by, or resulting from, your acts or omissions. This obligation does not apply to the extent a claim results from our own negligence, wilful misconduct, or breach of these Terms. Your indemnification obligations under this Section are subject to all applicable consumer-protection legislation and shall not exceed what is reasonable in the circumstances.

12. Force Majeure

Pass or Fail will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemics, acts of government, network or infrastructure outages, failures of third-party service providers, labour disruptions, or cyber-attacks. This Section operates without prejudice to, and does not expand the scope of liability beyond, the disclaimers in Section 9 and the limitations and exclusions in Section 10.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Subject to any non-waivable statutory rights — including, where applicable, the right of a consumer to bring proceedings in their home province under that province’s consumer-protection legislation, and Article 3149 of the Civil Code of Québec for Québec residents — any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the courts of the Province of Ontario, and you consent to the jurisdiction of those courts.

Québec residents. If you reside in Québec, you have non-waivable rights under the Civil Code of Québec and the Québec Consumer Protection Act, and any provision of these Terms that conflicts with such rights is unenforceable against you to that extent. Where Pass or Fail publishes a French-language version of these Terms, in the event of any inconsistency between the English and French versions, the version more favourable to the consumer prevails.

14. Severability

If any provision (or any part of a provision) of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision (or part) shall be severed or limited to the minimum extent necessary so that the remainder of the provision and the remaining provisions of these Terms continue in full force and effect. Where a provision is held unenforceable only against a particular class of users (for example, consumers in a specific jurisdiction), it shall remain enforceable against all other users to the maximum extent permitted by law.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Pass or Fail regarding the Site and supersede any prior or contemporaneous understandings. If the Terms and the Privacy Policy conflict, the Privacy Policy governs with respect to the handling of personal information; these Terms govern all other matters.

16. No Waiver

Our failure to enforce any provision of these Terms on a particular occasion does not waive our right to enforce that provision, or any other provision, on any later occasion.

17. Changes, Suspension, and Termination

Changes to these Terms.We may update these Terms from time to time. For material changes that reduce your rights or expand your obligations, we will post a prominent notice on the Site for at least 30 days before the changes take effect, and — where we hold your email address for alerts — we will notify you by email. Non-material changes take effect on posting. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms. The “Last updated” date at the top of this page will always reflect the latest version.

Modification or discontinuation of the Site. We may modify, suspend, restrict, or discontinue the Site, any feature of the Site, or access to any data, page, or listing on the Site at any time and for any reason, with or without prior notice, and without liability to you or any third party.

Termination of access. We may terminate or suspend your access to the Site at any time, with or without notice, for any reason, including breach of these Terms. Upon termination, your right to use the Site immediately ceases.

Your right to stop using the Site. You may stop accessing or using the Site at any time, for any reason. If you have provided us with personal information, you may request access, correction, or deletion in accordance with our Privacy Policy.

Survival. Provisions of these Terms that by their nature should survive termination — including, without limitation, Sections 3 (Data Sources and Accuracy), 5 (Restaurant Operator Corrections, including Republication of Public Records), 6 (Permitted Use, including the prohibitions on scraping, AI/ML extraction, and commercial reuse), 7 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability, Class-Action Waiver, Essential Purpose, and Carve-outs), 11 (Indemnification), 13 (Governing Law and Jurisdiction), 14 (Severability), 18 (Notices), 19 (Assignment), and this Section 17 — shall survive any termination of your access to the Site.

18. Notices

Notices to Pass or Fail under or in connection with these Terms must be in writing and sent to contact@passorfail.ca; such notices are deemed received on the next business day after actual receipt at that address. Notices from Pass or Fail to you sent by email to the address (if any) you have provided to us are deemed received when sent. Notices from Pass or Fail to you posted on the Site are effective from the date of posting.

19. Assignment

Pass or Fail may assign or transfer these Terms, in whole or in part, without your consent, to any successor or affiliate, including in connection with a merger, acquisition, reorganization, financing, or sale of all or substantially all of its assets or business. Where reasonably practicable, we will provide notice of any such assignment by posting on the Site or by email to the address (if any) you have provided to us. You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. Any attempted assignment in breach of this Section is void.
